TERMS OF SERVICE Effective Date: May 9, 2026 Last Updated: May 9, 2026 Please read these Terms of Service ("Terms") carefully before using the Delib.io platform and BoardRm AI service (the "Service") operated by Delib.io ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. ───────────────────────────────────────── 1. ACCEPTANCE OF TERMS ───────────────────────────────────────── These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Delib.io. Your use of the Service confirms your acceptance of these Terms and our Privacy Policy, which is incorporated herein by reference. We reserve the right to modify these Terms at any time. Continued use of the Service after any modification constitutes acceptance of the updated Terms. We will notify registered users of material changes by email. ───────────────────────────────────────── 2. DESCRIPTION OF SERVICE ───────────────────────────────────────── Delib.io provides a multi-voice AI deliberation platform that routes user-submitted questions to one or more third-party artificial intelligence models and synthesizes a collective verdict. The Service is available in the following modes: - Freethinkers Only (Free) — Powered by Groq-hosted Llama and Google Gemini. Available to all registered users at no charge. - API Only (Starter / Pro) — Adds Claude (Anthropic), ChatGPT (OpenAI), and Grok (xAI). Requires an active paid subscription. - Full Board (Pro) — All five AI voices deliberate simultaneously. Requires a Pro subscription. The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted availability of any specific AI model, as availability depends on third-party providers. ───────────────────────────────────────── 3. ELIGIBILITY ───────────────────────────────────────── You must be at least 16 years of age to use the Service. By creating an account, you represent and warrant that: - You are at least 16 years old - You have the legal capacity to enter into a binding agreement - You will comply with these Terms and all applicable laws and regulations - You are not located in a jurisdiction where use of AI services is prohibited ───────────────────────────────────────── 4. ACCOUNTS AND REGISTRATION ───────────────────────────────────────── 4.1 Account Creation You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. 4.2 Email Verification Upon registration, we will send a one-time verification code to the email address you provide. You must verify your email to activate your account. 4.3 Account Security You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You agree to notify us immediately at privacy@delib.io if you suspect any unauthorised access to your account. 4.4 One Account Per User You may not create multiple accounts for the purpose of circumventing plan limits, accessing free trials more than once, or any other fraudulent purpose. 4.5 Account Termination We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any conduct we determine to be harmful to the Service or other users. ───────────────────────────────────────── 5. SUBSCRIPTIONS AND BILLING ───────────────────────────────────────── 5.1 Plans The Service is offered under the following plans: - Free Plan: Access to Freethinkers Only mode. No charge. No credit card required. - Starter Plan: $10.00 USD per month. Includes 100 deliberations per billing period. Unlocks API Only mode. - Pro Plan: $25.00 USD per month. Includes 300 deliberations per billing period. Unlocks Full Board mode. Plan details, including pricing and included deliberations, are subject to change with 30 days' notice to active subscribers. 5.2 Billing Subscriptions are billed monthly on a recurring basis. Payment is processed by Stripe, Inc. By subscribing, you authorise us to charge your payment method on a recurring monthly basis until you cancel. 5.3 Question Quotas Your monthly deliberation quota resets at the start of each billing period. Unused questions do not roll over to the following month. 5.4 Cancellation You may cancel your subscription at any time through the Billing portal in your account. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends. No refunds are issued for partial months. 5.5 Refund Policy All subscription fees are non-refundable except where required by applicable law. If you believe you have been charged in error, contact us at privacy@delib.io within 30 days of the charge. 5.6 Failed Payments If a payment fails, we may suspend access to paid features until the outstanding balance is resolved. We will notify you by email when a payment fails. ───────────────────────────────────────── 6. ACCEPTABLE USE ───────────────────────────────────────── You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service to: - Submit questions containing personally identifiable information of third parties without their consent - Submit confidential, proprietary, or trade secret information belonging to others - Generate content that is illegal, defamatory, harassing, abusive, threatening, or fraudulent - Attempt to extract, reverse-engineer, or replicate the underlying AI models - Circumvent, disable, or interfere with security features of the Service - Use automated scripts, bots, or scrapers to access the Service in excess of normal usage - Resell, sublicense, or commercially redistribute AI-generated outputs as your own original work without appropriate disclosure - Violate the acceptable use policies of any third-party AI provider integrated into the Service - Use the Service in any manner that could damage, overburden, or impair the Service's infrastructure Violation of this section may result in immediate account termination without refund. ───────────────────────────────────────── 7. THIRD-PARTY AI PROVIDERS ───────────────────────────────────────── 7.1 Transmission of Data When you use API Only or Full Board modes, your question text is transmitted to third-party AI providers including Anthropic, OpenAI, xAI, Groq, and Google. By using these modes, you consent to this transmission and agree to comply with each provider's terms of service. 7.2 No Control Over Third-Party Outputs We do not control the responses generated by third-party AI models. We are not responsible for the accuracy, completeness, or appropriateness of any AI-generated content. AI responses may be incorrect, biased, outdated, or unsuitable for your specific purpose. 7.3 Provider Availability Third-party AI model availability is outside our control. We do not guarantee that any specific AI voice will be available at any given time. AI OUTPUT DISCLAIMER ───────────────────────────────────────── 8.1 Not Professional Advice All content generated by AI models through this Service — including verdicts, deliberation outputs, and synthesized responses — is for informational and exploratory purposes only. Nothing on this platform constitutes legal, financial, medical, psychological, investment, or any other form of professional advice. 8.2 No Reliance You should not rely on AI-generated content as the sole basis for any decision. Always consult a qualified professional for advice specific to your situation. 8.3 Accuracy AI models can produce inaccurate, outdated, misleading, or fabricated information. Delib.io makes no representations or warranties regarding the accuracy or reliability of any AI-generated output. ───────────────────────────────────────── 9. INTELLECTUAL PROPERTY ───────────────────────────────────────── 9.1 Our Intellectual Property The Delib.io name, logo, platform design, software, and original content are owned by Delib.io and protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works from our platform without our prior written consent. 9.2 Your Content You retain ownership of the questions you submit to the Service. By submitting questions, you grant us a limited, non-exclusive licence to transmit that content to third-party AI providers solely for the purpose of generating responses on your behalf. 9.3 AI-Generated Outputs Ownership of AI-generated outputs is subject to the terms of each respective AI provider and applicable law. You are responsible for ensuring that your use of AI outputs complies with all applicable intellectual property laws. ───────────────────────────────────────── 10. PRIVACY ───────────────────────────────────────── Your use of the Service is governed by our Privacy Policy, available at https://www.delib.io/privacy.html. By using the Service, you consent to the collection and use of your information as described therein. ───────────────────────────────────────── 11. LIMITATION OF LIABILITY ───────────────────────────────────────── To the maximum extent permitted by applicable law: - Delib.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service - Our total cumulative liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim - We are not liable for any loss or damage caused by third-party AI providers, payment processors, email delivery services, or hosting infrastructure Some jurisdictions do not allow the exclusion or limitation of certain damages. Any dispute arising out of or related to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration, except where prohibited by law.
